Article 1 Definitions
In these terms and conditions, the following definitions apply:
Contractor: Dradu Virtual Assistant Services, hereinafter referred to as "Dradu";
Client: the organization, legal entity, or individual who purchases the service;
Customer: the individual who personally experiences the execution of the service (if different from the client).
Article 2 Assignment Registration
Assignment registration with Dradu Virtual Assistant Services can be done by phone, registration form, or email.
Article 3 Quotation
Dradu Virtual Assistant Services will provide a quotation either by email. These terms and conditions will be attached to the quotation or referenced via a link to the website.
Article 4 Establishment of the Assignment
The assignment is considered established once Dradu Virtual Assistant Services has received a signed quotation for approval or a written agreement by email, and payment has been received, or when the actual execution of the assignment has begun.
Article 5 Statutory Cooling-off Period
The client or customer has a statutory cooling-off period of 7 calendar days, during which the assignment can be canceled free of charge and without justification.
Article 6 Inability to Attend
If a client or customer is unable to attend due to force majeure (as assessed by Dradu), Dradu Virtual Assistant Services will, on request and as a best effort, attempt to offer an alternative arrangement.
Article 7 Cancellation by Client or Customer
Cancellation by the client or customer must be done in writing or by email no later than 24 hours before the start of the assignment. Cancellations within 24 hours are subject to fees as specified in Article 10.
Article 8 Cancellation by Dradu
If Dradu Virtual Assistant Services cancels the agreed service/work due to force majeure or client negligence, it will notify the client as soon as possible and offer alternative dates/options. If the client does not accept these alternatives, the assignment is considered canceled, and any payments made will not be refunded.
Article 9 Force Majeure
1. If Dradu Virtual Assistant Services is unable to perform the agreed services due to force majeure, it may suspend or terminate the agreement in whole or in part, without being liable for any damages.
2. Force majeure includes, but is not limited to: illness or death of Dradu or close relatives, severe weather or traffic conditions, or client failure to participate as agreed.
Article 10 Invoicing and Payment Terms
a. Dradu will send a detailed invoice after receiving the signed agreement or once the assignment begins.
b. If the client cancels within 24 hours before the assignment, 50% of the cost will be charged.
c. Payments must be made within 7 days of the invoice date with reference to the invoice number.
d. Late payments are subject to statutory interest and collection fees.
e. Any refunds due to the client will be processed within 14 days of confirmation.
f. Dradu reserves the right to deny service for non-payment, except in the case of approved partial payments, which remain mandatory.
Article 13 Payment
The client can make payments using the following payment methods:
a. Bank Transfer
b. Cash
c. Sentoo
Article 12 Confidentiality
All information provided by clients or participants (e.g. about business, processes, customer groups, strategies) before, during, or after a Dradu Virtual Assistant Services project is confidential and will only be used by Dradu Virtual Assistant Services. No part of Dradu’s services or methods may be used or copied without written consent.
Article 13 Changes
Dradu Virtual Assistant Services reserves the right to amend the Terms and Conditions, rates, schedules, and dates at any time.
